Terms of Service

By creating an account or using Plauditly (the website, dashboard, embed widget, public API, free tools, or support chatbot), you agree to these terms. Plain English first; legal precision where it has to be.

1. The agreement and the parties

These Terms of Service form a binding contract between you (the "Customer", "you") and the operator of Plauditly ("Plauditly", "we", "us"). The agreement consists of these Terms, the Privacy Policy, the Acceptable Use Policy, and any Data Processing Agreement you sign. Where they conflict, the DPA governs personal-data processing; otherwise, these Terms govern.

2. Beta status

Plauditly is currently in private beta. Features may change, be removed, or break unexpectedly. We try not to break things, but you should treat the service as evolving software, not a long-term-stable platform — at least until we announce general availability.

Beta does not affect your billing rights. If you pay for a plan, your subscription is still binding on us, and the no-refund rule in §6 applies normally.

3. Your account

You need an account to use the dashboard, embed widgets, or any paid feature. You agree to:

  • Provide accurate information at signup and keep it current.
  • Keep your sign-in credentials confidential and not share your account.
  • Notify us immediately at hello@plauditly.app if you suspect unauthorized access.
  • Be at least 13 years old (and at least 16 in jurisdictions that set a higher age of digital consent).
  • Use the service only on behalf of yourself or an entity you're authorized to bind to these Terms.

If you sign in with Google, you authorize us to receive basic profile information (email, name) from Google's OAuth response, subject to the Privacy Policy.

4. Acceptable use

The detailed Acceptable Use Policy is at /legal/acceptable-use and is incorporated by reference. In short, you may NOT:

  • Submit, solicit, or publish testimonials you know to be false, fabricated, paid-for, or that you don't have the author's permission to publish (a violation of the US FTC Endorsement Guides, EU UCPD, UK ASA rules, and equivalents).
  • Collect testimonials about products or organizations you don't operate or represent.
  • Use the service for unlawful, harassing, defamatory, or hateful purposes.
  • Reverse-engineer, decompile, or attempt to extract source code, except where law expressly permits.
  • Scrape the service, abuse the public API beyond fair-use rates, or attempt to disrupt other users.
  • Send spam, transmit malware, or attempt to gain unauthorized access.
  • Resell, sublicense, or white-label the service without our written agreement.

We may remove content, suspend accounts, or terminate access for violations, with or without notice when the violation is severe or ongoing.

5. Testimonials, user content, and your responsibilities

Plauditly is testimonial-collection software. End-users submit testimonials through your collection link.

Authors retain ownership of what they wrote. By submitting via the form, they grant you, the project owner, a non-exclusive, worldwide license to publish their testimonial on your site and marketing materials, and grant Plauditly a limited license to host and process it for the purpose of delivering it to you and rendering it on your site.

You are responsible for ensuring every published testimonial:

  • Reflects genuine, unpaid customer feedback (or includes the disclosure required by FTC 16 CFR Part 255 if material connections exist).
  • Doesn't infringe a third party's rights, including the author's right to withdraw consent.
  • Complies with applicable advertising and consumer-protection laws in your jurisdictions.
  • Is hidden or deleted promptly if the author revokes consent.

We may remove specific testimonials if we receive a credible legal claim, a verified withdrawal-of-consent request, or a DMCA notice (see /legal/dmca). We'll notify you when we do, unless prohibited by law.

6. Subscriptions, payment, and refunds

Free tier. 15 testimonials, 1 widget, 1 project — free indefinitely, no card required. We may end the free tier with 90 days' notice.

Paid tiers. Starter $19/month, Pro $49/month (USD). Billed monthly via Stripe in advance; subscriptions renew automatically until canceled.

Cancellation. Cancel any time from the Customer Portal at /billing. No email or sales call required. Your plan stays active through the end of the current billing period.

No refunds. All sales are final. Subscribing constitutes acceptance of the no-refund rule, which we also disclose at the Stripe Checkout step before payment is captured. Full details and the narrow exceptions we reserve for ourselves are at /legal/refund. Summary:

  • No refunds for paid subscriptions, including unused time, plan changes, or partial months. You keep service through the period you've already paid for.
  • EU/UK consumers' statutory 14-day right of withdrawal is preserved where it applies, but is lost under Directive 2011/83/EU Article 16(m) once we begin supplying the service with your express consent — which Stripe Checkout captures at the moment of subscription.
  • Where local consumer-protection law gives you a non-waivable refund right, we honor that right regardless of this policy.
  • Goodwill credits for billing errors, account suspensions caused by us, or major service outages are at our discretion — not contractual.

Price changes. We may change pricing for new signups any time. Existing subscribers get at least 30 days' notice via email before a price change takes effect for their plan, and may cancel before the change applies.

Taxes. Prices listed are exclusive of any applicable VAT, GST, or sales tax, which we add at checkout based on your billing address.

7. Service availability and SLA

We target high uptime but don't currently offer a contractual SLA on standard plans. Plauditly may be unavailable due to maintenance, third-party outages (Supabase, Stripe, Vercel, Anthropic, Google), force-majeure events, or unforeseen issues. Where practical, we'll publish planned maintenance windows at /changelog at least 48 hours in advance.

Status of our upstream dependencies is at vercel-status.com, status.supabase.com, and status.stripe.com.

8. The embed widget and public API

The embed widget code is provided under an evergreen royalty-free license for use on websites you operate or are authorized to operate, for the duration of your account. You may not redistribute, sublicense, or modify the bundle.

The public widget JSON API (/api/widgets/[id]) is rate-limited and provided "as is". Acceptable-use limits apply (fair use; no scraping unrelated projects; no obfuscating IDs).

9. Free tools

The Free Tools (templates, schema generator, etc. at /tools) are provided gratis and AS IS. Output is yours to use; we make no warranty of accuracy or fitness for any purpose. Schema markup generated by our tool should be validated with Google's Rich Results Test before relying on it.

10. AI support chatbot

The chat widget on this site is an AI system (Anthropic Claude Haiku, via Vercel AI Gateway). It will sometimes be wrong. Don't rely on chatbot answers for binding commercial, legal, security, or product commitments — escalate by email and we'll respond. See the AI processing disclosure in §3 of the Privacy Policy.

11. Intellectual property

Our IP. Plauditly, the Plauditly name and brand marks, the website design and copy, the dashboard, the embed bundle, and all related software remain our property. Nothing in these Terms transfers ownership.

Your IP. Your project content (names, branding, collected testimonials) remains yours. We hold a limited license to host and process it to deliver the service.

Feedback. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use it in building the product. No compensation; no attribution required.

DMCA / copyright complaints are handled per /legal/dmca.

12. Termination

You can cancel anytime from the Customer Portal. After cancellation:

  • Read access continues through the end of the paid period.
  • Your projects, testimonials, widgets, and personal data are deleted within 30 days, except for records we must retain for tax/legal compliance (typically 7 years).
  • You can request a JSON export of your data within those 30 days by emailing hello@plauditly.app.

We may suspend or terminate your account for repeated or serious violations of these Terms, non-payment, or legal/operational risk. Where the violation is curable and not urgent, we'll give you reasonable notice and opportunity to cure.

13. Disclaimer of warranties

To the maximum extent permitted by applicable law, Plauditly is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment. We don't warrant that the service will be uninterrupted, error-free, or secure against every threat.

Some jurisdictions (notably EU consumer law) don't allow disclaimer of certain implied warranties; in those jurisdictions, our warranties are limited to the minimum scope permitted by law.

14. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or related to your use of Plauditly is limited to the greater of:

  • The amount you paid us in the 12 months preceding the event giving rise to the claim, or
  • USD $100.

We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages — including lost profits, lost data, business interruption, or substitute procurement — even if we've been advised of the possibility.

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for gross negligence, willful misconduct, or fraud, or — in jurisdictions where this applies — death or personal injury caused by negligence.

15. Indemnification

You agree to indemnify, defend, and hold us harmless from any third-party claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of:

  • Your use of the service.
  • Your violation of these Terms or the AUP.
  • Content you or your end-users submit through your projects.
  • Your violation of any third-party right (privacy, IP, publicity).
  • Your violation of any law, including advertising disclosure rules.

16. Force majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, civil unrest, government action, network or power failures, third-party infrastructure outages, pandemics, or acts of terrorism. The affected party will use reasonable efforts to resume performance.

17. Export control and sanctions

You represent you are not located in, or a national of, a country subject to comprehensive US export sanctions, and are not on any US, EU, or UK sanctions list. You agree to comply with applicable export-control laws when using the service.

18. Changes to these Terms

We may update these Terms. For material changes affecting your rights or obligations, we'll notify active subscribers by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you disagree with a change, cancel before it takes effect; your plan will remain active through the end of the period already paid for and then drop to the free tier. Consistent with §6 and /legal/refund, we do not refund the unused portion of a prepaid period when you cancel because of a Terms change.

19. Assignment

You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of substantially all our assets, on notice to you.

20. Severability, waiver, entire agreement

If any provision is held unenforceable, the rest stays in effect. A waiver of one breach is not a waiver of another. These Terms (plus the documents incorporated by reference) are the entire agreement between you and us regarding the service, and supersede any prior agreements.

21. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction — except where applicable consumer-protection law gives you the right to bring a claim in your country of residence (EU, UK, and some others), in which case that right is preserved.

Before filing a formal claim, you agree to first send written notice to hello@plauditly.app and give us 30 days to address it informally.
